Brokerage & Channel Partner Agreements; Commission Dispute Resolution
Review and dispute support for brokerage and channel-partner arrangements within an agreed scope.
What this service involves
A brokerage or channel-partner agreement says when commission becomes payable, on what price, and what happens if a sale is cancelled. Disputes usually come down to a clause that did not address cancellation, a rate change, or a sale that closed after the agent introduced the buyer.
Advocates review the agreement before signing and advise on recovery of unpaid commission, including notice and the forum that may be available.
How should the commission trigger be defined?
A brokerage agreement should identify the parties, project, services, lead-registration process and event that earns commission. Booking, agreement registration, customer payment and possession are different events; the contract should not leave the trigger implicit. Clarify whether the agent is exclusive, whether developer approval is needed for a lead and how competing introductions are resolved.
The payment provisions should address invoices, deductions, taxes, cancellations, refunds and the time for payment after the trigger. A developer’s sales policy may contain conditions not repeated in the short appointment letter. Review all incorporated documents together and preserve the version applicable to the transaction. An oral assurance about commission may be difficult to reconcile with a later written exclusion.
What evidence supports a commission dispute?
Prepare a lead-by-lead schedule linking introduction, acknowledgment, customer transaction, relevant milestone and invoice. Preserve email, messages, CRM records and developer confirmations lawfully. Distinguish a lead that was accepted from one merely sent to a sales team. Where several agents claim the same customer, the agreement’s attribution mechanism and actual evidence matter.
Examine termination, clawback and post-termination clauses. A commission dispute is not automatically within RERA jurisdiction merely because the project is registered. The advocate must assess the contract, arbitration clause, parties and available forum. Registration compliance and entitlement to a particular commission are separate questions; neither should be assumed to resolve the other.
How can the agreement reduce recurring disputes?
Use a documented lead-confirmation process and periodic reconciliation of eligible sales. Define who can approve exceptions and how changes are communicated. Advertising responsibilities should be allocated so agents do not issue unsupported claims or omit required identifiers. A contractual indemnity does not remove statutory obligations owed to the Authority or buyers.
If a dispute arises, compare a reasoned demand, negotiation, contractual dispute process and proceedings rather than immediately threatening every possible forum. A settlement should identify the leads covered, amount basis, payment date and releases. The service does not promise commission recovery or a particular result. Regulated legal work must be performed by the advocate identified in the engagement.
Practical decision points
Keep the agreed customer-consent and data-handling process with the lead protocol. Evidence collection should use records lawfully available to the agent and should not involve obtaining another party’s private account access. A strong commission file is an organised lawful transaction record, not an unrestricted investigation into the customer.
If a developer refuses commission because the customer already existed in its database, compare the agreement’s lead-attribution clause with the actual acknowledgment and timestamp evidence. The question is not resolved merely by showing that the agent spoke to the buyer. The contract may require registration, acceptance or another defined step, and that requirement needs legal assessment against the facts.
A working dispute schedule should show the lead, introduction evidence, developer response, customer transaction, trigger, invoice and payment status. Where the developer relies on cancellation or a clawback, identify the supporting clause and event. Preserve all versions of any policy incorporated into the appointment.
For future agreements, define the time for rejecting duplicate leads, the evidence needed to claim commission and the treatment of direct follow-up by the developer. The contract should identify who can approve exceptions. A dispute-resolution clause deserves attention before signing, because a registered project does not automatically make every commission dispute a RERA complaint. The final advice should distinguish a contractual entitlement argument from a regulatory compliance issue and should not promise collection.

Frequently asked questions
Is a written agreement necessary?
It is strongly advisable; without one, proof of the terms is harder.
Can RERA decide commission disputes?
The forum depends on the dispute; the Act deals with agents’ obligations, and a commission claim may belong elsewhere. Assessed per case.
