What this service involves

Joint development and sale of development rights can attract capital gains and GST questions that depend on how the deal is structured, when rights pass, what is received and in what form. The same commercial outcome can be taxed differently under different structures.

A Chartered Accountant reviews the proposed structure, identifies the tax questions it raises and sets out what information is needed to answer them. The work is advisory and based on the law as applicable at the time; any filing is agreed separately.

Which facts determine the tax analysis?

A tax review needs more than the proposed sharing ratio. The CA should know the owner’s legal status, how and when the land was acquired, its tax character, the proposed agreement date, consideration structure and relevant transfer or completion events. An individual holding inherited land may not have the same treatment as an entity holding development stock. The analysis must identify the applicable tax period and law in force for that period.

Collect acquisition and improvement records, earlier family or partition documents, proposed cash and area consideration and the intended sale of the owner’s allocation. Identify whether the draft creates obligations before registration, possession or completion. The CA should explain what assumptions the opinion depends on rather than applying an internet summary of a capital-gains provision to every JDA.

Why must income tax, GST and cash flow be reviewed together?

An area-sharing arrangement can create tax questions even where the owner receives little immediate cash. The review should distinguish the taxable event, valuation basis, reporting obligation and payment timing. GST treatment can depend on the nature of the supply, project and transaction structure; the fact that another landowner used a particular treatment is not proof that the same treatment applies here.

This site does not publish a universal tax rate, exemption or liability calculation. The professional advice should cite the applicable legislation and notifications after checking their effective dates, including transitional provisions where relevant. For historical events, the law applicable at the event date may differ from the law applicable to a later sale. Keep legal and accounting descriptions consistent so a deed is not drafted on assumptions the CA has not reviewed.

How should the advice change the agreement?

The output should identify who bears each tax, how information will be exchanged, who makes required deductions or filings and what evidence is delivered to the other party. A contractual allocation does not necessarily change the statutory person liable. Where the commercial bargain assumes a tax benefit, state the conditions and the consequence if those conditions are not met.

Ask for a dated written note distinguishing settled conclusions from points needing further evidence or specialist interpretation. Revisit it if consideration, ownership, project type or execution timing changes. Return preparation, representation in an assessment, valuation and ongoing compliance are separate unless included in writing. The actual CA and rendering entity must be identified before regulated advice is relied upon; this draft page is not professional sign-off.

Practical decision points

If the landowner’s proposed consideration changes from cash to completed units, send the revised term sheet to the CA before execution. That change can affect timing, valuation, cash needs and reporting assumptions. The tax note should identify which earlier conclusions no longer apply and what additional facts are needed. Do not rely on a memo prepared for a materially different bargain.

Where an old transaction and a future sale fall in different legal periods, the advice should state the law applicable to each event separately. The agreement’s tax allocation and information-sharing clauses should then be checked against the final professional analysis, with no assumption that the other party’s commercial undertaking changes statutory liability.
