## Quick answers

What is it?

Coordination of legal and commercial review for a proposed landowner-developer arrangement.

Who needs it?

Landowners and developers entering or renegotiating a joint development.

How long does it take?

This varies with negotiation; documents can be reviewed in stages.

## What this service involves

A joint development agreement divides risk and reward between a landowner and a developer: area or revenue share, timelines, approvals, security for the landowner and what happens if the project does not progress. A landowner can end up a co-promoter under the RERA Act depending on the role taken, which makes the drafting more than a commercial matter.

We review title, the share model, the development rights granted and the exit terms. Chartered Accountants review how tax and GST apply to the chosen structure, and architects or engineers check that the assumptions on area are realistic.

## How should area sharing and revenue sharing be compared?

A JDA must define the landowner’s consideration and the events that make it payable or deliverable. Area sharing requires identification of the units, area basis, allocation mechanism and rights to sell. Revenue sharing requires a clear definition of receipts, permitted deductions, collection controls and reporting. A percentage without those definitions cannot be meaningfully compared with another developer’s offer.

Test the offer against the development assumptions: land extent, available FSI, TDR, approvals, costs and delivery periods. The landowner should see what happens if fewer saleable units are sanctioned or costs rise. A CA and architect can analyse those assumptions while the advocate allocates the resulting risks. The agreement should distinguish minimum obligations from benefits contingent on future permissions or sales.

## When can a landowner also have promoter responsibilities?

Section 2(zk) defines promoter by role and includes circumstances where the constructor or developer and seller are different persons. The label passive landowner does not settle the issue. Review the actual arrangement, sale authority, allocation of units and project disclosures. Contractual indemnities between parties may allocate losses internally but do not necessarily remove responsibilities owed under the Act to allottees or the Authority.

Account operation, allottee receipts, registration disclosures and consent obligations should be designed together. MahaRERA Order 56/2024 addresses bank-account arrangements including multiple-promoter situations. The precise structure should be checked against the executed bargain and current directions, not copied from a single-promoter project. Where rights are later transferred, consider Section 15 separately rather than assuming the original JDA authorises every change.

## Which protections belong in the execution checklist?

Align the JDA with the power of attorney, possession arrangements, lender documents and unit-sale instruments. Decide when access is given, what security is required and how the landowner obtains progress and sales information. Restrictions on mortgage, substitution or assignment should be consistent across documents. A narrow restriction in one agreement can be undermined by an uncontrolled authority elsewhere.

Default provisions need practical consequences: notice, cure, continuing obligations, treatment of buyers, document custody and the route for resolving disputes. Termination does not automatically erase third-party rights or complete unfinished construction. Obtain transaction-specific tax, stamp and registration advice before execution; a commercially attractive sharing ratio may have a different after-tax result. No development return or approval outcome is promised by this review.

## Practical decision points

Consider a revenue-sharing proposal that excludes several customer charges from receipts and allows unrestricted development-cost deductions. The headline percentage may then apply to a much smaller base than the landowner expects. The review should model the defined receipt base, list deductions and specify access to supporting records. If the parties instead intend a gross-receipts share, the drafting and account arrangements must reflect that intention consistently.

Check the same definition in collection instructions, sale documentation and periodic reporting. A later finance document should not quietly change the landowner’s information or payment rights. The professional note should identify the resolved commercial choice and the risks that remain with each party.

## Who needs it

Landowners and developers entering or renegotiating a joint development.

## Documents usually required

- Draft term sheet or agreement
- Title documents and revenue records
- Existing approvals or layout proposals
- Developer’s registration and background details
- Proposed share and payment structure

## Step-by-step process

1. Review title and the proposal
2. Test the area and revenue assumptions
3. Review development rights, security and exit terms
4. Assess RERA role and registration questions
5. Suggest revisions for negotiation
6. Support execution and registration

## Typical timeline

This varies with negotiation; documents can be reviewed in stages. Timing depends on the matter, document readiness and the relevant authority process; confirm the scope and timeline before engagement.

## Frequently asked questions

Will the landowner be a promoter?

It depends on the facts and the agreement. This is assessed for each case under the Act’s definition.

Is the share a legal or financial question?

Both, which is why advocates and Chartered Accountants review it together.
