Service desk

A landowner is usually the party with the least information and the most at stake in a joint development. NXS48 - The RERA Specialists works with landowners to understand what they are being offered, what the developer is entitled to do with the land, and what the law requires of each party. The firm draws on 200+ professionals across employees and associates across law, accounting, engineering and architecture.

## Overview

- Landowners
- Developers
- Banks and investors

The four services in this category cover the arc of a typical landowner decision: how the agreement is structured, whether the FSI and TDR that justify the offer actually exist, whether title is clean enough to aggregate land, and what the tax consequence is. Each can be taken separately but the answers influence each other, which is why they share a desk.

### Which disciplines are involved

Advocates review title and the agreement. Chartered Accountants review capital gains and GST questions raised by the structure. Engineers and architects test the area, FSI and TDR numbers that the developer’s offer assumes.

The scope and responsible professional are identified in the engagement. Professional certificates are signed in the relevant professional or firm's own name. NXS48 is not an examination or certifying body.

## How should a landowner evaluate the proposed bargain?

A development offer is a set of linked assumptions about title, land extent, permitted development, costs, sales and timing. The landowner should see those assumptions before comparing percentages. A higher revenue share can be less valuable if receipts are defined narrowly or deductions are uncontrolled. An area share can be uncertain if the unit allocation depends entirely on an unapproved future plan.

Prepare a term-by-term comparison of consideration, minimum commitments, approvals, access, funding, security, information rights and default. Identify the events that trigger obligations and the evidence that confirms them. The landowner should understand what happens if development potential is lower than assumed, approval takes longer or sales do not generate the forecast cash. Risk allocation belongs in the documents, not just in a financial presentation.

Use legal, technical and tax advice together. The architect tests the planning assumptions, the advocate examines ownership and transaction authority, and the CA assesses tax and financial effects for the actual owner and period. A structure should not be called tax-efficient or legally cleared before those professionals have reviewed the underlying facts. This page does not recommend a particular sharing model.

## Why do promoter roles and control rights matter?

A landowner’s RERA position depends on the actual role and agreement, not only the label attached to the party. Section 2(zk) includes the specified situation where development and sale are undertaken by different persons. Assess sale rights, allocation, disclosures and responsibilities before assuming the owner is outside the regulatory framework.

The JDA, power of attorney, buyer agreements and account structure should agree on who can sell, collect money, mortgage rights and bind the project. MahaRERA Order 56/2024 addresses multiple-promoter bank arrangements. A private revenue-sharing formula needs to operate within the applicable project-account requirements; it does not by itself justify routing protected project money wherever the parties prefer.

Later substitutions, assignments or finance arrangements may change the legal analysis. Section 15 can require prior consent and approval for the covered transfer of majority rights and liabilities. A broad assignment clause in the JDA is not a substitute for that process. The owner should receive enough information to understand a proposed incoming party and the treatment of pending obligations.

## How are land, TDR and tax risks closed before execution?

For aggregated sites, maintain parcel-specific title and occupation records. One unresolved access strip or restricted-tenure parcel can affect the whole scheme. Tenant or occupant issues need lawful assessment and documentation, not a general promise of clearance. The commercial closing sequence should explain what happens if an essential parcel cannot be acquired.

TDR and FSI review should separate measured land inputs, legal entitlement and planning approval. A rights certificate is not automatically usable on every receiving site, and theoretical FSI is not equivalent to saleable carpet area. Ask for a traceable calculation and a list of conditional assumptions before using a potential area figure to negotiate the landowner’s benefit.

Obtain dated tax advice for the actual owner, instrument, consideration and relevant events. Historical and future transactions may fall under different effective provisions. The agreement should allocate information, filing and economic responsibilities without suggesting that contractual wording changes the statutory person liable. Keep final instruments, annexures and professional notes together. None of these services promises development returns, tax savings or a particular authority decision.

## 4 services

[

### Joint Development Agreement (JDA) Structuring

Coordination of legal and commercial review for a proposed landowner-developer arrangement.

A JDA must define the landowner’s consideration and the events that make it payable or deliverable. Area sharing requires identification of the units, area basis, allocation mechanism and rights to sell. Revenue sharing requires a clear definition of receipts, permitted deductions, collection controls and reporting. A percentage without those definitions cannot be meaningfully compared with another developer’s offer.

### TDR & FSI Audit

Review coordination for available transfer-of-development-rights and floor-space-index records and calculations.

An FSI review reconciles the development calculation with the land, applicable regulations and permissions. A TDR review examines the rights instrument, availability, permitted loading and use in the proposed scheme. The word audit here describes a scoped legal and technical examination; it is not a statutory audit opinion or a planning authority’s approval. The engagement should say whether it concerns a proposal, a sanctioned plan or an executed TDR transaction.

### Land Aggregation & Title Clearance

Title-document review and transaction coordination for land aggregation, subject to matter-specific scope.

Aggregation joins transactions, not just map shapes. Each parcel can have a different owner, title history, tenure, access, mortgage and occupation pattern. Create a parcel register before negotiations advance, linking survey identifiers to deeds, revenue extracts, measured area and proposed consideration. A clean file for one owner should not be used to describe the entire assembled site as cleared.

### Landowner Tax Advisory (CA)

Chartered-accountant-led review of tax considerations identified for a proposed joint-development transaction.

A tax review needs more than the proposed sharing ratio. The CA should know the owner’s legal status, how and when the land was acquired, its tax character, the proposed agreement date, consideration structure and relevant transfer or completion events. An individual holding inherited land may not have the same treatment as an entity holding development stock. The analysis must identify the applicable tax period and law in force for that period.

## Frequently asked questions

Will I be a co-promoter under RERA?

It depends on your role and the agreement. We assess it under the Act’s definition of promoter.

Why is tax in a legal engagement?

The apparent commercial benefit of a structure can change after tax. Reviewing both helps identify that effect.

Can you negotiate with the developer?

We review and draft documents; commercial negotiation remains yours unless agreed otherwise in writing.

Is the landowner’s share fixed by law?

No; it is a matter of agreement, subject to the law and regulations that apply.
